1. Introduction

Welcome to the Vship, Inc. website (www.vship.app) and all the content, tools, applications (including mobile applications), and services available through it (collectively, the "Vship Site"). The Vship Site is referred to herein as the "Vship Site" or "Site." As used herein, (i) "you" or "your" refers to you as a user of the Site; (ii) "Vship", "we", or "us" refers to Vship, Inc.; and (iii) "Terms of Use" refers to these Terms of Use, together with any other notices, policies, disclaimers, or restrictions posted by us on the Site.

2. Authorized Use of the Site

Use of the Site is restricted to authorized users only. Unauthorized use of the Site, including unauthorized entry, misuse of passwords, or misuse of any information within the Site, is strictly prohibited. By using your login ID and password (collectively, "Logon Credentials") on the Site, you represent that:

You are authorized to use the Site by Vship, either as an Account Owner or as an employee/agent of an Account Owner (each an "Account User").
You are the assigned user of the login ID and password.
You agree that you, as the Account User, and the Account Owner are bound by these Terms of Use.

Account Owners and Account Users will be referred to as "Members," and their status as Members will be referred to as "Membership." These Terms of Use are legally binding and have the same effect as a signed, written agreement. Account Owners are responsible for all acts or omissions of their Account Users on the Site and must ensure that Account Users have agreed to be bound by these Terms of Use before granting them Logon Credentials. If an Account Owner shares their Logon Credentials, they are responsible for all acts or omissions of the person using them.

3. Member Responsibilities

Carrier Members

If you are a Carrier Member, you agree to:

Abide by all applicable industry and professional standards.
Pick up and deliver vehicles within the agreed-upon time windows and at the agreed-upon price.
Communicate the status of the shipment to the shipper throughout the shipping process.
Promptly notify all appropriate parties of any damage, loss, theft, or unexpected delays in the pick-up or delivery of vehicles.
Update shipment status on the Platform's "My Loads" page.
Handle vehicles to avoid any damage.
Provide Vship, Inc. with a copy of the bill of lading in the event of a dispute with a shipper.
Provide appropriate parties with a completed and signed bill of lading/vehicle condition form upon delivery.
Handle damage claims fairly and responsively.
Interact with all parties in a professional and courteous manner.
Maintain adequate insurance coverage and applicable licenses and bonds at all times.
Comply with all applicable laws, rules, and regulations, including those of the Federal Motor Carrier Safety Administration (FMCSA).

Shipper Members

If you are a Shipper Member, you agree to:

Provide the agreed-upon vehicle(s) to carriers at the agreed-upon time and price.
Make prompt payment of outstanding balances owed to carriers.
Ensure that the bill of lading accurately reflects the condition of the vehicle at pickup.
Provide Vship, Inc. with a copy of the signed bill of lading in the event of a dispute with a Carrier Member.
Remove from view on the Platform loads that you have posted for shipment once an agreement has been made to ship such loads with a carrier.
Interact with all Members, Vship, Inc., and its affiliates in a professional and courteous manner.
Maintain adequate insurance and applicable licenses and bonds at all times.
Comply with all applicable laws, rules, and regulations.

General Responsibilities

Damage and loss claims against a carrier must be pursued independently of the contracted freight fees.
Contracted freight fees may not be withheld or delayed in payment of any claim of damage or loss.
Valid claims arising from damage or loss during shipment will not be paid until freight charges are paid.

4. Member Registration

When registering as a Member, you agree to:

Provide accurate, current, and complete information about yourself as prompted by the registration form.
Maintain and update your information to keep it accurate, current, and complete.
Select a username and password as part of the registration process, ensuring it does not impersonate someone else or violate any proprietary rights law.
Not transfer or resell your use of or access to the Platform to any third party.
Keep your login ID and password confidential and notify us immediately if you suspect unauthorized access.

5. Intellectual Property

Limited License: We grant you a non-exclusive, non-transferable, non-sublicensable, limited right and license to access and use the Platform and its materials solely for evaluating and entering into business relationships with other Members and for your internal business use.
Restrictions on Use: You may not copy, reproduce, decompile, reverse engineer, or create derivative works based on the Platform or its materials without our prior written permission.
Ownership: All materials and intellectual property on the Platform are owned by Vship, Inc. and its licensors.

6. Updates and Modifications

We reserve the right to modify these Terms at any time. It is your responsibility to regularly check for updates. Continued use of the Platform constitutes acceptance of any modified Terms.

7. Code of Conduct

While using the Platform, you agree to:

Not use the Platform for unlawful, abusive, or improper purposes.
Not restrict or inhibit any other Member from using the Platform.
Not transmit unlawful or objectionable content.
Not engage in spamming or flooding.
Not transmit any harmful software.
Not use automated means to collect information from the Platform.

8. Relationships with Other Members

Vship, Inc. provides a platform to connect Carrier and Shipper Members but does not guarantee the performance or reliability of any Member.
Any contract or agreement for auto transport services is solely between you and the other Member.
Vship, Inc. is not liable for any disputes between Members.

9. Fees and Payment

Payments: All payments are processed through Stripe. Shippers post their load and the payment is held in Stripe until delivery is confirmed with a delivery code.
Commission: Vship, Inc. takes a commission on transactions processed through the Platform.

10. Indemnification

You shall indemnify, defend, and hold harmless Vship, Inc. and its affiliates, partners, suppliers, and licensors, and each of their respective officers, directors, agents, and employees (the "Indemnified Parties") from and against any claim, proceeding, loss, damage, fine, penalty, interest, and expense (including, without limitation, fees for attorneys and other professional advisors) arising out of or in connection with the following:

(i) Your access to or use of the Site;
(ii) Your breach of this Agreement;
(iii) Your violation of law;
(iv) Your negligence or willful misconduct; or
(v) Your violation of the rights of a third party, including the infringement by you of any intellectual property or misappropriation of any proprietary right or trade secret of any person or entity.

These obligations will survive any termination of the Agreement.

11. Limitation of Liability

Vship, Inc. is not liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages, whether based in contract, tort, or otherwise, arising out of or relating in any way to the Site, the services or materials available on the Site, or reliance on any information, materials, or results provided to or received through the Site. Your sole remedy for dissatisfaction with the Site and/or Site-related services, applications, materials, or information is to stop using the Site and/or those services, applications, materials, or information.

12. Arbitration and Class Waiver

Arbitration: Any disputes arising out of or relating to these Terms, the Site, or the services provided by Vship, Inc. will be resolved through binding arbitration administered by a reputable arbitration organization. The arbitration will be conducted in accordance with the rules of the selected arbitration organization, and judgment on the arbitration award may be entered in any court having jurisdiction.

Class Waiver: All claims and disputes must be arbitrated on an individual basis. This means that you and Vship, Inc. waive the right to participate in a class action lawsuit or class-wide arbitration.

Notice and Informal Resolution: Before initiating arbitration, you must first send a written notice to Vship, Inc. at support@vship.app. You and Vship, Inc. agree to attempt to resolve the dispute informally within 60 days of receiving the notice. If the dispute cannot be resolved informally, either party may then proceed to initiate arbitration.

Location: The arbitration will take place in a mutually agreed location. If the parties cannot agree, the arbitration will be conducted in the state of your primary residence.

Right to Opt-Out: You have the right to opt-out of this arbitration clause, but only if you notify Vship, Inc. in writing at support@vship.app within two weeks (14 days) of first accepting these Terms and before performing any transactions or using the Site to post loads, book loads, or utilize any functionality. Your opt-out notice must include your name, address, phone number, email address, and a clear statement that you wish to opt-out of this arbitration clause.

Severability: If any portion of this arbitration clause is found to be unenforceable or illegal, the remaining portions will remain in effect, except that if the class action waiver is found to be unenforceable, the entire arbitration clause will be null and void.

13. Informal Resolution

You and Vship, Inc. agree that good-faith informal efforts to resolve disputes often result in a prompt, low-cost, and mutually beneficial outcome. Before either party demands arbitration, we agree to meet and confer in good faith via telephone or videoconference to resolve any claim informally. If you are represented by counsel, your counsel may participate, but you must also personally participate. The initiating party must notify the other in writing of its intent to initiate an informal dispute resolution conference. This conference must occur within 60 days of such notice unless mutually agreed otherwise. To notify Vship, Inc., email support@vship.app with your name, telephone number, email address, and a description of your claim.

14. Disputes & Feedback

You agree to follow Vship, Inc.'s Code of Conduct and comply with all written and verbal requirements, including policies, guidelines, and instructions, in a timely manner. As part of using our services, you agree to provide feedback to other customers and receive feedback from them. In case of a dispute with another customer, you agree to provide requested documents, information, and responses promptly. Failure to comply with these terms may result in suspension or termination of your account, and any outstanding amounts owed to Vship, Inc. will become due immediately.

15. Compliance and Credential Restrictions

Should Vship, Inc. become aware of a lapse in your licensing, insurance, authority, or other credentials, your account may be restricted immediately, with or without notice, until such credentials are reinstated.

16. Jurisdictional Issues

The Platform is directed to individuals residing in the United States. Use of the Platform from outside the United States is at your own risk.

17. Termination and Suspension

We may terminate or suspend your access to the Platform at any time, with or without cause, and without prior notice.

18. SMS/Text Messaging Terms

By opting in to receive SMS messages from Vship, Inc., you agree to the following terms:

Program Name: Vship Customer Support SMS

Program Description: Vship, Inc. may send you SMS text messages related to customer support, account notifications, shipment status updates, booking confirmations, security alerts, and other service-related communications. This is not a marketing or promotional messaging program.

Opt-In: You may opt in to receive SMS messages by checking the SMS consent checkbox during account registration at https://www.vship.app. Consent to receive text messages is not a condition of purchasing any goods or services or creating an account on Vship.

Message Frequency: Message frequency varies based on your account activity and support interactions.

Message and Data Rates: Message and data rates may apply. Contact your wireless carrier for details about your text messaging plan.

Opt-Out: You can stop receiving SMS messages at any time by replying STOP to any message from Vship. You will receive a one-time confirmation that you have been unsubscribed. After opting out, you will no longer receive SMS messages from Vship unless you opt back in. To re-subscribe, reply START.

Help: For information or assistance, reply HELP to any message from Vship, or contact us at support@vship.app.

No Mobile Data Sharing: Vship, Inc. will not share, sell, or disclose your mobile phone number or SMS opt-in data to any third parties or affiliates for marketing or promotional purposes. Mobile information may only be shared with our SMS service provider to deliver the messages you have consented to receive.

Supported Carriers: Major U.S. carriers are supported. Carriers are not liable for delayed or undelivered messages.

Privacy: For information about how we collect, use, and protect your personal information including your mobile phone number, please review our Privacy Policy at https://www.vship.app/privacy-policy.html.
